General terms and conditions
For working with Pappelbaum Design, owner Franz Pappelbaum, Ihmelsstraße 11, 04315 Leipzig (hereinafter “I” or “Pappelbaum Design”).
1. Scope
These terms and conditions (AGB) apply to all contracts for web design, branding and print services between me and my customers. My offer is aimed at entrepreneurs within the meaning of § 14 of the German Civil Code (BGB) (self-employed persons, freelancers, traders, associations), not at consumers. Deviating terms of the customer only apply if I expressly agree to them.
2. Conclusion of contract and process
The process for website projects: the customer submits a briefing via the enquiry form. On this basis, I create a working preview of the website. The customer reviews the preview and approves it. Only with the approval and the subsequent order (payment of the set-up fee and conclusion of the monthly service contract) is the contract concluded. Until then, the customer incurs no costs.
If the customer doesn't like the preview, they can end the enquiry at any time — without giving reasons and without costs. The prices that apply are those shown in the order process or in the individual quote at the time of the order.
3. Scope of services
The set-up comprises the concept, design and implementation of the commissioned website (new build or relaunch), including the basic technical features: responsive display, SEO basics (titles, meta information, sitemap, structured data) and a privacy-friendly set-up without tracking services.
The monthly service comprises: hosting on servers in Germany, technical updates and maintenance, as well as self-editing of content via the customer dashboard. Change requests (“tickets”) are credit that can be booked individually or as a package. A ticket is a clearly defined task (e.g. a text change, an image swap, a small layout adjustment). Purchased tickets do not expire. More extensive work (new subpages, new features) is quoted separately.
I strive for high availability of the hosting, but do not owe any particular availability rate. Maintenance windows and disruptions for which I am not responsible (e.g. outages of the data centre) remain reserved.
4. Prices and payment
The set-up fee is due once, after the customer has approved the preview and completed the order. The monthly service amount is due monthly in advance from the time the website goes live. Billing is handled via the payment service provider Stripe. All prices are subject to statutory VAT, unless stated otherwise.
5. Term and termination
The service contract has no minimum term and can be terminated by either party at any time with effect from the end of the current billing month. Hosting ends when the contract ends; the website is taken off the server. The customer can export their content (texts, images, files) or receive it from me before and up to 30 days after the end of the contract. After that, the project data is deleted, unless statutory retention obligations apply.
6. Customer's cooperation and content
The customer provides the content needed for the project (texts, images, logos) or approves suggestions created by me. The customer warrants that they hold the necessary rights to all materials supplied and indemnifies me against third-party claims based on content supplied by them.
The customer is responsible for the accuracy of the content of their own website — in particular the imprint, privacy policy and industry-specific mandatory information. I provide the technical pages for this and point out missing mandatory information, but I don't provide legal advice.
7. Rights of use, domain and handover of data
Upon full payment of the set-up fee, the customer receives the non-exclusive right of use, unlimited in time and place, to the website created for them and its design elements for the use provided for in the contract. The content belongs to the customer. I may name and show the work as a reference, unless the customer objects.
If I register a domain for the customer, it is registered in the name of the customer as the domain holder; I act merely as the technical administrator. At the end of the contract, the customer receives, on request, the auth/transfer code without delay and free of charge, so they can move the domain to a provider of their choice.
At the end of the contract, I provide the customer with their content as well as a complete static archive of their website (download) — up to 30 days after the end of the contract, at no additional cost.
8. Warranty and liability
I remedy defects in the commissioned service within a reasonable period. I am liable without limitation for intent and gross negligence as well as for injury to life, body and health. In the case of simple negligence, I am only liable for the breach of essential contractual obligations (cardinal obligations), limited to the foreseeable damage typical for the contract. Liability for loss of data is limited to the effort that would be required for restoration if data had been backed up properly.
9. Final provisions
German law applies. The place of jurisdiction is Leipzig, to the extent permitted by law. Should individual provisions of these terms and conditions be invalid, the rest of the contract remains valid.
